Experience
Ms. Brown is a member of our corporate, finance & real estate practice groups, where she focuses her practice on real estate finance and corporate transactions. Her real estate and lending practice has included representation of clients with various types of commercial lending transactions, including risk assessment and special servicing – handling loan modifications, refinancing and foreclosure solutions for problem debt and equity investments throughout the United States, and structuring co-lender entities and agreements for REO acquisition, management, and disposition. Her corporate practice has included representation of publicly- and privately-held corporations, professional corporations and associations, partnerships, limited liability companies, and individuals in a broad range of business transactions, commercial contracts, and securities matters.
Ms. Brown’s experience includes:
- Representation of regulated lenders, life insurance companies, investors, and developers with various debt and equity structures, including negotiation and drafting loans and mortgage agreements; intercreditor agreements; mezzanine debt; commercial loan servicing (including special servicing); and related litigation of homebuilder lines of credit on a nationwide basis
- Negotiation and drafting of a broad range of commercial transactions and contracts, including merger and acquisition agreements, corporate restructuring, international sales and distributorship agreements, international equipment leases, partnership and joint venture agreements, confidentiality, nondisclosure, and non-compete agreements
- Representation of public and private companies with various securities transactions and compliance issues, including venture capital finance, public and private offerings, mergers, stock and asset acquisitions, Securities Act of 1933 and Exchange Act of 1934 issues, proxies, shareholder communications, SEC reporting and compliance
